Please read these Terms carefully before placing an order.

By placing an order, the Customer confirms that it is acting exclusively in the course of its business activity, that it is authorised to purchase materials for an Alfa Romeo dealership, market, importer, distributor or other entity authorised in connection with the Alfa Romeo | Luna Rossa project, and that it accepts these Terms.

These Terms do not apply to purchases made by consumers.

1. Seller

The seller of the Products offered through the Site is:

Creostudios S.p.A.

Hereinafter referred to as "Creostudios", "we", "us" or "Seller".

The Site and the related ordering system have been developed and are operated by Creostudios for the management of the Alfa Romeo | Luna Rossa POS Materials programme.

Creostudios is the contractual seller of the Products purchased through the Site.

Unless expressly stated otherwise, Alfa Romeo, Stellantis and Luna Rossa are not sellers under orders placed through the Site and do not assume payment, delivery, warranty or other contractual obligations arising from such orders.

2. B2B platform and eligible Customers

The Site is intended exclusively for business-to-business transactions.

Orders may only be placed by authorised Alfa Romeo dealers, dealerships, importers, distributors, national sales companies, market organisations or other entities expressly invited or authorised to participate in the Alfa Romeo | Luna Rossa POS Materials programme ("Customer").

The person placing the order represents and warrants that:

a. he or she is acting on behalf of the relevant Customer and has authority to bind that Customer;

b. the information provided during registration and checkout is complete and accurate;

c. the purchase is made exclusively for business and professional purposes;

d. where applicable, the Customer has supplied a valid VAT identification number and other information required for invoicing or customs purposes;

e. the Customer is entitled to use the relevant Alfa Romeo | Luna Rossa materials within its territory.

Creostudios may request reasonable evidence of the Customer's eligibility, including dealer identification, company details, VAT information or confirmation from the relevant Alfa Romeo/Stellantis market organisation.

Creostudios reserves the right to refuse or cancel orders where eligibility cannot be verified.

3. Purpose of the Products

The Products offered through the Site have been developed for the Alfa Romeo | Luna Rossa partnership and related retail activation.

They may include, among other items, floor stickers, wall drops/backdrops, brochures, stickers, printed collateral, display materials, digital assets and other POS Materials made available from time to time.

The Products are intended exclusively for use within the authorised Alfa Romeo sales and promotional network in connection with the relevant campaign.

Products may not be commercially resold.

Brochures, cards, stickers or other promotional items specifically intended for customer distribution may be distributed free of charge in accordance with their intended promotional purpose.

The purchase of a Product does not grant the Customer any general right to use the Alfa Romeo, Stellantis, Luna Rossa or Creostudios trademarks, designs, images, creative assets or other intellectual property outside the specific campaign purpose authorised under these Terms.

4. Brand approval and campaign guidelines

The designs and configurations made available through the Site correspond to materials developed for and approved for use within the Alfa Romeo | Luna Rossa programme.

The Customer shall use the Products consistently with:

the product instructions supplied by Creostudios;

any applicable Alfa Romeo/Stellantis brand guidelines;

any specific instructions communicated by the relevant market organisation;

any campaign limitations relating to location, timing, vehicle model, territory or format.

No alteration of logos, trademarks, campaign signatures, approved graphics or visual identity elements is permitted unless expressly authorised.

Where Alfa Romeo, Stellantis, Luna Rossa or another relevant rights holder requests that a campaign asset be updated, withdrawn or no longer used, the Customer shall comply with the corresponding instructions communicated through Creostudios or the relevant market organisation.

5. Product information

Creostudios will use reasonable efforts to ensure that product descriptions, dimensions, specifications, images and prices displayed on the Site are accurate.

Images and renderings are provided primarily for illustrative purposes. Minor differences in colour, finish, materials, printing, production technique or appearance may occur as a result of production processes, display settings or material batches and shall not constitute a defect where they do not materially affect the intended use or overall approved appearance of the Product.

The Customer is responsible for reviewing the dimensions, characteristics and installation requirements of each Product before placing an order.

Where a Product is intended for a specific type of surface, environment or installation method, this will be indicated in the relevant product information or installation instructions.

6. Account and access to the Site

Where access credentials are provided, they are intended solely for the authorised Customer and must not be transferred to third parties.

The Customer is responsible for maintaining the confidentiality of its account credentials and for activities carried out through its account.

Any suspected unauthorised access must be promptly reported to Creostudios.

Creostudios may suspend access to the Site in the event of security concerns, unauthorised use, breach of these Terms or loss of the Customer's authorised dealer or market status.

7. Ordering process and conclusion of the contract

Products and available quantities can be selected through the Site and added to the shopping cart.

Before submitting an order, the Customer will have the opportunity to review the selected Products, quantities, billing information, delivery information and applicable charges and to correct input errors.

The Customer must provide all information required to process the order, including correct company, billing, tax and delivery details.

Submission of an order constitutes an offer by the Customer to purchase the selected Products under these Terms.

An automated email confirming that the order has been received constitutes an acknowledgement of receipt only and does not necessarily constitute acceptance of the order.

The sale contract is concluded when Creostudios sends an order acceptance, order confirmation or equivalent communication confirming that the order has been accepted for fulfilment or production.

Creostudios may refuse an order before acceptance where, for example:

the Customer cannot be verified as an eligible Customer;

a Product is unavailable;

the delivery destination is not supported;

required billing, VAT or customs information is missing;

a manifest pricing or technical error has occurred;

performance would breach applicable sanctions, export controls or other laws; or

a relevant campaign or brand restriction prevents fulfilment.

If payment has already been collected for an order that Creostudios subsequently cannot accept, the relevant amount will be refunded.

A copy or electronic record of the order and the applicable version of these Terms may be retained by Creostudios for contractual, administrative and legal purposes. The Customer may request a copy of its order documentation.

The language of the contractual relationship through the EMEA Site is English unless otherwise expressly agreed.

8. Prices, VAT and taxes

Unless expressly indicated otherwise on the Site, prices are stated in Euro (EUR).

Prices shall clearly indicate whether VAT, delivery charges and other applicable costs are included or excluded.

For business customers established in Italy, Italian VAT will be applied where required by law.

For Customers established in another EU Member State, the VAT treatment may depend on the Customer's VAT status, the validity of its VAT identification number, the destination of the Products and the applicable rules governing intra-Community supplies.

Creostudios may verify EU VAT identification numbers through the applicable VAT verification systems.

For Customers or delivery destinations outside the European Union, orders may constitute exports from the EU. Unless expressly stated otherwise in the order confirmation, any import duties, customs charges, local taxes, import VAT, clearance fees or similar charges arising in the country of destination are the responsibility of the Customer.

The Customer is responsible for providing complete and correct information required to determine the applicable tax treatment.

If information supplied by the Customer is incorrect and results in additional taxes, duties, penalties or administrative costs for Creostudios, Creostudios may recover such amounts from the Customer to the extent permitted by law.

9. Payment and invoicing

Available payment methods will be displayed during checkout or otherwise communicated by Creostudios.

Unless different payment terms have been expressly agreed in writing, payment is due at the time the order is placed or accepted.

Where Creostudios grants payment on invoice or other deferred payment terms, the Customer shall pay within the period stated on the relevant invoice.

Creostudios may suspend production or delivery of unpaid orders where payment is overdue.

Invoices will be issued in accordance with applicable Italian and EU invoicing and tax legislation and using the billing data supplied by the Customer.

The Customer is responsible for ensuring that its billing information, VAT number, purchase order references and any other required invoicing information are correct before submitting the order.

10. Production and availability

Certain Products may be manufactured or printed specifically after receipt of orders or may be produced in consolidated production batches.

Any production or delivery timing shown on the Site or communicated before order acceptance is an estimate unless expressly confirmed by Creostudios as a binding delivery date.

Production times may be affected by quantities, production batches, material availability, supplier capacity, destination, logistics requirements and campaign-related changes.

Where circumstances outside Creostudios' reasonable control make the originally ordered Product unavailable, Creostudios may propose a technically or qualitatively equivalent alternative.

No substitute materially altering the approved visual identity or intended function of a Product will be supplied without informing the Customer.

Where no acceptable alternative is available, Creostudios may cancel the affected Product and refund any corresponding amount already paid.

11. Delivery and logistics

Products will be delivered to the address provided by the Customer and accepted by Creostudios.

The Customer is responsible for ensuring that the delivery address is complete, accurate and accessible to the carrier.

Shipping and logistics charges, where applicable, will be shown on the Site, calculated during checkout, included in the Product price or communicated to the Customer before order acceptance.

Where an exact shipping cost cannot be calculated automatically for a particular EMEA destination, Creostudios may contact the Customer before accepting the order.

Delivery dates are estimates unless expressly confirmed in writing as binding.

Creostudios shall not be responsible for delays caused by incorrect delivery information, customs procedures, the Customer's failure to provide required documentation, carrier disruption or circumstances beyond Creostudios' reasonable control.

The Customer shall ensure that someone authorised is available to receive the shipment.

Any additional storage, re-delivery or handling costs caused by the Customer's inability to receive the shipment may be charged to the Customer.

Ownership of Products passes to the Customer following full payment of the relevant purchase price, to the extent permitted by applicable law.

12. Inspection of Products and transport damage

The Customer shall inspect Products promptly after delivery.

Any visible damage to packaging or Products should, where possible, be recorded on the carrier's delivery document and supported by photographic evidence.

The Customer should notify Creostudios promptly of any shortage, visible defect, transport damage or incorrect Product and, where Italian statutory warranty provisions apply, within the applicable notification periods provided by law.

Claims concerning hidden defects should be notified promptly following discovery.

The notification should include the order number, affected Product, description of the issue and appropriate photographic or other supporting evidence.

Products must not be returned without prior authorisation from Creostudios.

Where a claim is accepted, Creostudios may, depending on the circumstances, repair, reprint or replace the affected Product, supply the missing items, issue a credit note or refund the corresponding purchase price.

13. Cancellations, returns and right of withdrawal

The Site is exclusively B2B.

Accordingly, statutory consumer withdrawal rights, including the fourteen-day right of withdrawal applicable to certain consumer distance contracts, do not apply to orders placed under these Terms.

After an order has been accepted by Creostudios, it may not be cancelled or changed by the Customer without Creostudios' prior written consent.

This is particularly relevant where production, printing, procurement or customisation has already started.

If Creostudios agrees to a cancellation after production or procurement has commenced, the Customer may be required to reimburse costs already reasonably incurred.

Products manufactured, printed or prepared specifically for the Alfa Romeo | Luna Rossa campaign cannot be returned because of a change of mind.

This does not affect the Customer's rights in relation to defective, damaged, incorrectly supplied or materially non-conforming Products.

14. Product warranty

Creostudios warrants that, at the time of delivery, Products will materially correspond to the accepted order and the relevant approved product specification.

The warranty does not cover damage or deterioration resulting from:

incorrect assembly or installation;

installation on an unsuitable, dirty, irregular, damp or damaged surface;

use contrary to the installation instructions;

unauthorised alterations;

improper storage or handling;

accidental damage;

use outdoors where a Product has been specified for indoor use;

exposure to weather, excessive heat, moisture, wind or other environmental conditions outside the Product's stated specification; or

continued use after the Product has become visibly damaged or unsafe.

Nothing in these Terms excludes any liability or warranty that cannot legally be excluded or limited.

15. Installation and safe use

The Customer is responsible for ensuring that Products are installed and used safely and in accordance with the instructions provided.

Where professional installation is recommended, the Customer shall use suitably qualified personnel unless installation services have separately been purchased from Creostudios.

Floor graphics and stickers must be installed only on suitable, stable, clean and dry surfaces. The Customer shall periodically inspect them and remove or replace them if they become detached, damaged or capable of causing a slip or trip hazard.

Wall drops, backdrops and freestanding structures must be assembled and secured in accordance with the applicable instructions.

Products intended for indoor showroom use must not be used outdoors unless their product specification expressly permits such use and all necessary safety precautions have been taken.

The Customer remains responsible for compliance with local health and safety, building, fire, accessibility and other regulations applicable to the premises in which the Products are installed.

16. Digital materials

Certain digital materials may be made available through the Site free of charge or against payment, including brochure files, PDFs, artwork or other campaign assets.

Unless expressly stated otherwise, digital materials are licensed and not sold.

Creostudios and/or the relevant rights holders grant the eligible Customer a limited, non-exclusive, non-transferable and non-sublicensable right to use the relevant files solely for the authorised Alfa Romeo | Luna Rossa campaign and within the Customer's approved territory.

Logos, trademarks, photographs, vehicle imagery, campaign signatures, approved layouts and other protected visual elements must not be altered except where expressly authorised.

Digital assets may not be:

sold or sublicensed;

uploaded to public asset libraries;

used to create unrelated advertising or merchandise;

used for another brand, dealer network or campaign;

made available to unauthorised third parties; or

used for training artificial intelligence systems or other datasets without express written permission.

Any rights not expressly granted remain reserved.

17. Intellectual property and trademarks

All intellectual property rights relating to the Site, Product designs, layouts, artwork, renderings, photographs, graphics, digital assets and other materials remain owned by Creostudios and/or the respective rights holders.

The purchase of a physical Product transfers ownership of that physical Product only and does not transfer any intellectual property rights.

Alfa Romeo, its logos and related trademarks and assets are owned or controlled by their respective Stellantis rights holders.

Luna Rossa, its logos and related trademarks and assets are owned or controlled by their respective rights holders.

Their appearance on the Site and on the Products does not grant the Customer any rights beyond the limited campaign use expressly permitted under these Terms and the applicable Brand guidelines.

Nothing in these Terms shall be interpreted as creating an agency, partnership, joint venture, franchise or representation relationship between the Customer and Creostudios, Stellantis, Alfa Romeo or Luna Rossa beyond the Customer's existing authorised status.

18. Limitation of liability

Nothing in these Terms shall exclude or limit liability for fraud, wilful misconduct, gross negligence, death or personal injury where such liability cannot lawfully be excluded, or any other liability that cannot be excluded under applicable law.

Subject to the above and to the maximum extent permitted by law, Creostudios shall not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business opportunity, loss of goodwill or loss resulting from interruption or alteration of a marketing campaign.

Creostudios shall not be liable for damage resulting from unauthorised modification of Products, improper installation, unsuitable premises or surfaces, use contrary to instructions or campaign guidelines, or use after the Product has become damaged or unsafe.

To the maximum extent permitted by applicable law, Creostudios' aggregate contractual liability arising from an individual order shall not exceed the total amount actually paid by the Customer to Creostudios for the Product or order giving rise to the claim.

19. Force majeure

Neither party shall be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.

Such events may include natural disasters, war, civil unrest, governmental restrictions, sanctions, strikes, epidemic events, major transport disruption, shortages of raw materials, energy interruption, cyber incidents affecting critical suppliers and other comparable events that could not reasonably have been prevented.

Creostudios will use reasonable efforts to minimise the impact of such events and to inform affected Customers where fulfilment is materially delayed.

If performance becomes impossible or excessively delayed because of a force majeure event, Creostudios may cancel the affected part of the order and refund amounts paid for Products that cannot be supplied.

20. Trade compliance and territorial restrictions

The Customer shall comply with applicable import, export, sanctions and trade-control legislation.

Creostudios may refuse, suspend or cancel an order where fulfilment would expose Creostudios or any party involved in the transaction to a violation of applicable sanctions, export controls or other mandatory legal restrictions.

The Customer shall not intentionally transfer Products or campaign assets to sanctioned persons, prohibited territories or unauthorised third parties.

21. Personal data and cookies

Personal data collected in connection with the Site, Customer accounts and orders will be processed in accordance with the Privacy Policy available on the Site.

The Privacy Policy explains, among other matters, the purposes and legal basis of processing, recipients of personal data, applicable retention periods, international transfers where relevant and the rights available to data subjects.

The Site may use cookies and similar technologies in accordance with the applicable Cookie Policy and cookie-management settings.

Information necessary to process an order may be shared with service providers involved in payment, production, shipping, logistics, IT infrastructure and other activities necessary to fulfil the order, subject to applicable data-protection rules.

22. Suspension and termination of access

Creostudios may suspend or terminate the Customer's access to the Site where reasonably necessary as a result of:

a material breach of these Terms;

unauthorised use of campaign assets or trademarks;

fraudulent or suspicious activity;

security concerns;

material payment default;

loss of eligibility to participate in the programme; or

instructions from the relevant Brand or rights holder concerning access to campaign materials.

Suspension of access does not affect payment obligations or other rights and obligations arising from orders already validly concluded.

23. Amendments to these Terms

Creostudios may update these Terms to reflect changes in law, taxation, platform functionality, logistics, campaign requirements or business operations.

The version applicable to an order is the version made available to the Customer before that order is submitted and accepted.

Changes to these Terms will not retroactively alter a contract already concluded unless required by mandatory law or expressly agreed between the parties.

24. Entire agreement, subcontractors and severability

The contract relating to an order consists of these Terms, the relevant product information, the order details and any written order confirmation or specific written agreement issued by Creostudios.

In the event of inconsistency, any specifically agreed written order terms shall prevail over these general Terms for the affected order.

Creostudios may use qualified third-party manufacturers, printers, logistics providers and other subcontractors to perform its obligations while remaining the Customer's contractual seller.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain effective to the fullest extent permitted by law.

Failure by either party to exercise a right does not constitute a waiver of that right.

25. Governing law and jurisdiction

These Terms and all orders concluded through the Site shall be governed by Italian law, without prejudice to mandatory provisions of law that cannot validly be excluded.

To the extent applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

Before commencing legal proceedings, the parties shall use reasonable efforts to resolve disputes through good-faith commercial discussions.

Subject to any jurisdiction that cannot lawfully be excluded, the Courts of Turin, Italy, shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms or orders placed through the Site.
